Terms and Conditions

Effective from: 05-11-2023.

These Standard Terms and Conditions govern the relationship between MainAI ApS, CVR "44364468" ("the Provider") and the customer ("the Customer") in connection with the provision of consultancy services, software-as-a-service (SaaS), and service offerings. By engaging the Provider's services, the Customer fully accepts these terms.

1. Scope of the Agreement

These terms apply to all AI solutions, SaaS, and consultancy services provided by the Provider, as specified in the individual agreement entered into between the Provider and the Customer.

2. Payment Terms

2.1 The Customer commits to paying for the delivered services, including software and platform access, in accordance with the prices and payment deadlines stipulated in the individual contract.

2.2 Payment must be made within 14 days of receiving the invoice. The invoice is considered received on the day it is sent electronically to the email address provided by the Customer.

3. Liability, Limitation of Liability, and Coverage

MainAI ("the Provider") is responsible for delivering software development and AI-related services in accordance with general rules.

We have taken out IT liability insurance and provided a guarantee that covers all aspects of our business operations within software development. The insurance provides coverage regardless of where the services are performed and includes direct employees of the Provider. Our liability insurance is underwritten by Topdanmark A/S, CVR No.: 78416114.

Our total liability to the Customer is limited to a maximum of DKK 1,500,000 per customer. The total compensation that a Customer is entitled to receive, relating to all claims raised or increased by the Customer within the same or the immediately following calendar year, cannot exceed DKK 1,500,000. This liability cap represents the maximum amount the Provider may be required to pay in compensation, damages, costs, interest, etc.

Our liability does not include economic consequential losses and indirect damages, including but not limited to loss of business, data loss, lost profits, goodwill, image, etc., or other forms of indirect loss.

4. Confidentiality and Data Protection

The Provider undertakes to handle all personal data in accordance with applicable data protection legislation and to ensure the confidentiality of such data. This includes data collected through the use of our SaaS and PaaS solutions.

5. Amendments to the Terms

The Provider reserves the right to change these terms with 30 days' notice. Changes will be communicated to the Customer in an appropriate manner.

6. Governing Law and Jurisdiction

Any disputes between the parties shall be resolved in accordance with Danish law and by Danish courts.
